Compliance

Merz has developed a Comprehensive Compliance Program (“CCP”) in accordance with the Compliance Program Guidance for Pharmaceutical Manufacturers published by the Office of Inspector General of the U.S. Department of Health and Human Services (“OIG Guidance”). Merz intends for this program, in conjunction with its California Compliance Policy, to meet the requirements of the State of California as well as other states that have enacted laws requiring pharmaceutical companies to implement a comprehensive compliance program and code of conduct. As the OIG Guidance recognizes, however, the implementation of such a program cannot guarantee that improper employee conduct will be entirely eliminated. It is our expectation that all Merz employees will comply with the CCP and the policies established in support of the CCP. It is our further expectation that Merz employees who interact with California HCPs will comply with the specific California Compliance Policy as well as the laws, regulations and policies applicable to such interactions.
